Informix Corp, Menlo Park, California, and Innovative Software Inc, Lenexa, Kansas now have definitive agreement on the plan for Informix to acquire Innovative and run it as a wholly-owned subsidiary. Innovative holders will receive three-quarters of a share of Informix common stock for each share of Innovative common stock and Informix shares will be reserved for issue on conversion of Innovative’s outstanding debentures and the exercise of its options on the same basis. Both sets of shareholders must approve, and completion is set for February.
