SystemSoft Corp, Natick, Massachusetts developer of drivers and other system software for plug-in PCMCIA peripheral cards for portable computers, has filed to go public with an initial offer of up to 2.7m shares, 1.8m of them new, at a target price of between $6.50 to $7.50 each. Proceeds will be used to repay outstanding debt and for working capital.The joint lead underwriters for the offering will be Hambrecht & Quist Inc and Volpe Welty & Co.Lernout & Hauspie Speech Products NV, the Ypres, Belgium speech recognition technology developer, is launching a $20m three-year 7.5% convertible bond issue as part of a planned listing on the US Nasdaq market. The bonds, with a nominal value of $1,000, will be automatically converted into shares of the company at the moment of an initial public offering of the company’s shares on Nasdaq, at a price of $12.91 per share if a planned $25m capital increase takes place within two weeks after the close of the offering. Otherwise, they will be converted into shares at a 15% discount to the introduction price on Nasdaq, with a maximum price set at $12.09 per share and a minimum price of $7.37 per share.
